These Terms of Use ("Terms") govern access to and use of Place Newsroom (the "Service"), provided by Bird Global Advisory Ltd, a company registered in England and Wales under company number 15716052, with its registered office at 2 Crossways Business Centre, Bicester Road, Kingswood, Aylesbury, Bucks, United Kingdom, HP18 0RA ("Bird", "we", "us", "our").
By accessing or using the Service — including by submitting material through a Place Newsroom submission page, or by using Place Newsroom as an editor or other authorised user on behalf of a subscribing organisation — you agree to these Terms.
These Terms are baseline product terms. They apply to use of the Service generally. Where Bird and a subscribing organisation have entered into separate written terms (such as a services agreement or data processing agreement) governing that organisation's use of the Service, those separate terms take precedence over these Terms to the extent of any conflict.
For information about how we process personal information, see our Privacy Notice.
Place Newsroom is a technology service: an editorial workflow tool that uses artificial intelligence to help subscribing organisations turn material submitted to them into draft editorial, website, social media and newsletter content.
Bird provides the technology and the underlying artificial intelligence-assisted processing. Bird is not, merely by providing the Service:
Bird does not make the decision to publish, distribute or otherwise externally use any content produced using the Service. That decision belongs to the subscribing organisation and its authorised users, as described further below.
Nothing in the Service's automated safeguards, prompts, warnings, review workflow or other features creates a general duty for Bird to detect every factual error, defamatory statement, copyright issue, privacy issue, or other legal or regulatory problem that may exist in submitted or generated material.
Content generated using artificial intelligence through the Service is draft material. It is not supplied as independently verified, publication-ready content, and Bird does not warrant that it is accurate, complete or fit for any particular purpose.
Before publishing, distributing, relying upon or otherwise using AI-assisted content outside the Service, the subscribing organisation and its authorised users must independently review it. That review should cover, as appropriate to the content and its intended use:
This review requirement is a condition of using AI-assisted content produced through the Service outside the Service — not a recommendation.
The subscribing organisation and its authorised users control whether, where, when and how any content is published, distributed or otherwise used externally. Where an authorised user approves, exports, copies for external use, distributes or publishes an output produced using the Service, that organisation is responsible for the decision to do so and for having carried out the review required by these Terms beforehand.
Bird does not approve publication merely because the Service generated, displayed, stored or otherwise made content available. The act of a subscribing organisation or its authorised user taking any of the steps described above represents that organisation's own decision to use the material, made after the review required by these Terms.
Bird is entitled to rely on material supplied by subscribing organisations, contributors and users, including submitted documents, images and information entered into the Service (such as Place Profile information). Bird has no general obligation to independently investigate or verify the accuracy, provenance, legality, ownership or the permissions, claims, quotations or other assertions contained in that material. The person or organisation supplying material remains responsible for it.
By submitting material through a Place Newsroom submission page, you confirm and warrant, to the extent applicable to the material you provide, that:
You retain ownership of any original material you submit. You do not transfer copyright in your original material to Bird.
To allow Place Newsroom to operate, you grant the subscribing organisation to which you submit material, and — to the extent required to provide the Service — Bird and Bird's relevant service providers, a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, analyse, adapt, edit, transform, generate editorial drafts and other derivative material from, display within the Service where required, and otherwise technically process the material you submit, for the purposes of:
This licence includes permission for the material to be technically processed by the service providers Bird uses to provide the Service (see our Privacy Notice for more information about those providers).
This licence does not give Bird any right to use your material for Bird's own independent marketing or other purposes unrelated to providing the Service.
Artificial intelligence is an evolving and probabilistic technology. AI-assisted outputs produced through the Service may misunderstand source material, omit information, introduce inaccuracies, reproduce inaccuracies present in source material, produce inappropriate wording, or otherwise require correction.
Bird does not warrant that AI-assisted outputs are factually accurate, complete, error-free, unique, non-infringing, publication-ready, fit for a particular purpose, or suitable for any particular audience or publication channel.
Bird does not guarantee that using the Service will result in publication, media coverage, audience engagement, website traffic, search engine or AI discoverability performance, bookings, revenue, reputational benefit, commercial return or any other particular outcome.
Content and outputs produced using the Service do not constitute legal, regulatory, financial or other professional advice. Where appropriate, you should obtain specialist advice from a qualified professional.
Subject to applicable law and any separate written agreement between Bird and a subscribing organisation, Bird is not liable merely because a subscribing organisation publishes or distributes an AI-assisted output which it approved, which it failed adequately to review, which contained an error that reasonable editorial review required by these Terms would have identified, or which contained a problem originating in material supplied by that organisation or a contributor.
To the fullest extent permitted by law, Bird excludes liability for loss of reputation, loss of goodwill, loss of profit, loss of revenue, loss of anticipated savings, loss of business, loss of opportunity, and indirect or consequential loss, in each case arising out of or in connection with the Service.
You agree to indemnify Bird against third-party claims, losses, damages and reasonable costs (including reasonable legal costs) arising out of or in connection with:
This indemnity does not apply to the extent a claim, loss, damage or cost arises from Bird's own fraud, or from liability that cannot lawfully be excluded or limited (see "Liability we do not exclude" below).
Nothing in these Terms excludes or limits Bird's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under the laws of England and Wales.
To the fullest extent permitted by law:
These Terms do not set out a specific monetary cap on Bird's liability. Where Bird and a subscribing organisation enter into a separate written services agreement, that agreement is expected to set out the parties' agreed liability position, including any applicable financial limits, in more detail.
Where you or a subscribing organisation collect, upload or otherwise use personal information through the Service for your own editorial or publicity purposes, you are responsible for ensuring you have an appropriate lawful basis, appropriate notices, and any necessary permissions or authority for doing so.
This does not affect Bird's own responsibilities under data protection law in providing the Service — see our Privacy Notice for more information.
The Service relies on third-party infrastructure and services, potentially including hosting, cloud and database services, file storage, authentication, email delivery and AI processing. Subject to applicable law and any separate written agreement, Bird is not responsible for failures of the Service that are wholly outside Bird's reasonable control, including failures of third-party providers. Bird does not guarantee any particular level of uptime or availability from third-party providers.
Place Newsroom, including its AI-assisted functionality, is under active development. Features may change, be added, or be withdrawn, and third-party systems the Service relies on may change. We do not guarantee uninterrupted or error-free availability of the Service.
We may maintain, update, modify or suspend the Service, or any part of it, at any time, acting reasonably.
If you or your organisation are given credentials, submission links or other means of accessing the Service, you are responsible for keeping them confidential, for controlling who within your organisation is authorised to use them, and for notifying Bird promptly if you suspect they have been compromised.
Bird may suspend or revoke access, or rotate links or credentials, where reasonably necessary for security.
You must not use the Service:
Bird may, but is not generally obliged to, restrict, disable or remove material that Bird reasonably believes is unlawful, infringes a third party's rights, breaches these Terms, creates a security risk, or exposes Bird or the Service to material legal risk. This does not create a general obligation on Bird to monitor or pre-screen content submitted, generated or published using the Service.
Bird's software, the Service's architecture and design, Bird's product branding, and Bird's underlying tools and methodology remain Bird's intellectual property (or that of Bird's licensors). Nothing in these Terms transfers any of that intellectual property to you or to a subscribing organisation.
Source material supplied by contributors, customers or users remains the property of its owner, subject to the licence described above.
Subject to third-party rights, the rights in source material, applicable law and these Terms, a subscribing organisation may use content generated for its workspace for its own editorial and business purposes. Bird does not guarantee that AI-generated material is protectable by copyright, exclusive to the subscribing organisation, or unique.
Bird is not liable for any failure or delay in performing the Service caused by circumstances outside Bird's reasonable control, including failures or disruption affecting hosting or cloud infrastructure, telecommunications, third-party AI infrastructure, or other external providers. This does not excuse matters genuinely within Bird's reasonable control.
Bird may suspend or restrict access to the Service, in whole or in part, where reasonably necessary for security, to address unlawful use, in response to a material breach of these Terms, to comply with a legal requirement, or otherwise to protect the Service or its users.
Provisions of these Terms which by their nature are intended to continue after use of the Service ends will survive, including intellectual property, licences necessary for uses already authorised before termination, the liability provisions, the indemnity, and governing law.
Our Privacy Notice explains how we process personal information in connection with the Service, and forms part of these Terms by reference. It is not repeated here.
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory rights you may have to bring proceedings in a different jurisdiction.
We may update these Terms from time to time, for example to reflect changes to the Service or to applicable law. We will update the "Last updated" date at the top of this page when we do. Continued use of the Service after an update constitutes acceptance of the updated Terms.
